Overview of Services
Motion House is a private network that introduces clients to vetted independent creative operators across video, design, motion, web, content, and strategy. We operate as an introduction and coordination layer; engagements are delivered by independent operators under terms agreed between the operator and the client.
No Employment Relationship
Nothing in these terms creates an employment, partnership, agency, or joint venture relationship between Motion House and any operator, client, or applicant. Operators are not employees, contractors, or agents of Motion House and have no authority to bind Motion House to any obligation.
Independent Contractor Status
All operators introduced through Motion House are independent professionals responsible for their own taxes, insurance, equipment, and compliance with the laws applicable to their place of work. Clients are responsible for engaging operators on terms appropriate to their jurisdiction.
Client Responsibilities
Clients agree to provide complete and accurate briefs, timely feedback, and the access required for operators to perform the work. Clients are responsible for the accuracy of any materials supplied and for securing any necessary rights and clearances.
- Provide a clear scope, brief, and decision owner.
- Pay invoices in accordance with the agreed terms.
- Treat operators with professionalism and good faith.
- Honor confidentiality obligations regarding shortlists and engagements.
Intellectual Property
Unless otherwise agreed in writing, intellectual property in deliverables produced by an operator transfers to the client upon full payment for the relevant work. Pre-existing operator tools, templates, and methodologies remain the property of the operator. The Motion House name, brand, and platform remain the exclusive property of Motion House.
Payment Terms
Engagements are invoiced in accordance with the schedule agreed at the start of each project, typically monthly in arrears or against defined milestones. Invoices are due within fourteen (14) days of issue unless otherwise stated. Late payments may incur interest at the maximum rate permitted by law and may result in pause or termination of services.
Confidentiality
Each party agrees to maintain in confidence all non-public information disclosed by the other party, including operator profiles, shortlists, briefs, strategies, and commercial terms. Confidentiality obligations survive termination of the engagement for a period of five (5) years.
Acceptable Use
- No use of the service in violation of applicable law.
- No solicitation of operators presented through Motion House outside of our engagements for a period of twelve (12) months.
- No reverse engineering, scraping, or unauthorized access to the platform.
- No content or briefs that promote discrimination, harassment, or unlawful activity.
No Guarantee of Outcomes
While Motion House selects operators with care and maintains high standards across the network, we do not guarantee specific business outcomes, creative results, or commercial performance. Creative work is iterative by nature and depends on collaboration between the client and the operator.
Limitation of Liability
To the maximum extent permitted by law, Motion House's total aggregate liability arising out of or in connection with the service shall not exceed the fees paid by the client to Motion House in the three (3) months preceding the event giving rise to the claim. Motion House is not liable for indirect, incidental, consequential, or special damages, including loss of profits, revenue, data, or goodwill.
Termination
Either party may terminate an engagement on fourteen (14) days' written notice, or immediately for material breach that remains uncured for seven (7) days after written notice. Fees for work completed up to the effective date of termination remain payable.
Disputes & Governing Law
These terms are governed by the laws of the jurisdiction in which Motion House is established, without regard to its conflict of laws principles. The parties agree first to attempt to resolve any dispute through good-faith negotiation, and failing that, through binding arbitration in that jurisdiction.
Changes to These Terms
We may update these terms from time to time. Material changes will be communicated to active clients in advance of taking effect. Continued use of the service after the effective date constitutes acceptance of the updated terms.
